Community Web Page Member Agreement
The Johnstown Breeze is pleased to offer to you (a "Member") Web publishing Community Web Page utilizing the Community Web Page ("CPS") provided by us and our licensors, suppliers and vendors (the "Community Web Page"). The Community Web Page allow community groups ("Groups") like yours to publish content and communicate with members and others.
In order to use the Community Web Page offered on this site, you must read and agree to be bound by the terms contained in this Community Web Page Member Agreement ("Member Agreement"), as it may be modified from time to time. By submitting your username and password to log in and use the Community Web Page, you indicate your acceptance of the terms of this Member Agreement. By using this site, you also agree to be bound by the terms of our Visitor Agreement.
Our Community Web Page
As a Member, you will be able to submit information in order for us to publish content to create a page or otherwise participate in Group Web sites (if your request to participate is approved by that Group). If you do not become a Member by registering and agreeing to be bound by this Member Agreement, you will only be able to use the Community Web Page as a guest in order to view public areas of Group sites, but you will not be able to use the Community Web Page to publish content to or otherwise participate in Group Web sites. The Community Web Page are more fully described in the Guide to managing your site ("Guide"). If you are the administrator for your Group's site, you may use CPS during the term of this Agreement to build your website, and/or to designate other participants on your site as additional administrators for your Group's site as further described in the Guide.
We will provide your Group space on our web servers. You understand that web sites can be unpredictable and that we can't guarantee uninterrupted operation of or access to your pages.
To make use of the Community Web Page, you will be required to e-mail your information to the webmaster (firstname.lastname@example.org) In order to create a site for the first time, you also need to provide us with further information on yourself and your site.
You agree that the information you supply during submit-for-approval process and in order to use the Community Web Page will be accurate and complete and that you will not register under the name of, nor attempt to enter the Community Web Page under the name of, another person. If you are an administrator for your Group's site, you agree that you have the authority to act on behalf of your Group. If you provide any information that is untrue, inaccurate, not current or incomplete, or we have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, we have the right to suspend or terminate your account and refuse to provide you any and all current or future use of the Community Web Page (or any portion thereof). You must be at least 18 years old to submit information to our community web page Community Web Page. Please inform us if there is a change in the information you provided at the time of your initial contact, including any change of address or name, by sending an e-mail to email@example.com and resubmitting updated contact information.
Content You Post
You will have the ability to use the web page to post content in various forms. For example, you may use the web page or post content to any Group Web page (if you have participation rights and permission to do so from the Group site administrator).
While we generally have no objection to your Group promoting the occasional fund-raising event, the spirit of your pages must be informational only; the pages may not be primarily for purposes of appealing for money, selling Community Web Page or selling merchandise. You may not run advertisements on your Web page. (As noted below, we may run advertisements on the pages, which, of course, is what makes it possible for us to make space on our web servers available without charge to Groups such as yours.) We reserve the right to remove content that comes to our attention which, in our judgment, is inappropriately commercial.
You represent that you own or otherwise have the right to publish the content you post using the Community Web Page. Submitting material that is the property of another, without the consent of its owner, is not only a violation of this Agreement, but may also subject you to legal liability for infringement of copyright, trademark, or other intellectual property rights. You represent that the content you publish using the Community Web Page will not be illegal, obscene, defamatory, abusive, threatening or libelous and that you will not publish material that infringes on the ability of others to enjoy the Community Web Page, the pages created using the Community Web Page and our site or that infringes the rights of others. You represent that the content you publish on your web page will not violate any right of any person or other entity, including contractual rights, proprietary rights, trademark, service mark or patent rights, or any rights of privacy or publicity. You also agree not to post any instructions which, if followed, are likely to cause injury.
You will be responsible at all times for the content you publish. Though we will distribute your content as part of the Community Web Page, we cannot review, check or edit the content you publish. We also reserve the right (but assume no obligation) to delete, move, block access to, or edit any content that comes to our attention that we consider unacceptable or inappropriate, whether for legal or other reasons. We also reserve the right to remove any link from your pages that we find inappropriate for any reason.
The Community Web Page are "Communications Community Web Page" as described in our Visitor Agreement. Without limiting any of our rights under this Agreement, you agree not to use the Community Web Page for any of the specific prohibited activities as provided in our Visitor's Agreement.
You agree to make reasonable efforts to promote the existence of your pages through the various communications devices (newsletters, mailings, etc.) by which your Group ordinarily communicates with its members and/or with others.
You agree that you are responsible for retaining archival or back-up copies of any content or data you publish using the Community Web Page. We are not responsible for the loss of or damage to your content or data.
You grant us a non-exclusive, royalty-free right to distribute your content via our web servers and to distribute your content to our licensors, suppliers or vendors as necessary to provide you with the Community Web Page and for such other purposes as we deem appropriate, in our sole discretion. You also grant us a non-exclusive, royalty-free right to use and distribute the logos you post using the Community Web Page and your Group's name and logos during the term of this Agreement for purposes of promoting your pages and content. We may retain copies of all of your pages and content for archival purposes.
Information You Gather from Users
We may sell advertising on the pages on which your content is posted and we may use for promotional purposes space otherwise available for advertising. We will retain all revenue generated by these sales.
Trade and Service Marks
Our trademarks (which may appear, for example, on the border of your pages) are ours and the trademarks you may include in your content belong to you. Neither of us is giving the other rights to its trademarks, except as specifically noted above.
We can terminate this Agreement and your use of the Community Web Page in our sole discretion and at any time. You may also terminate this Agreement at any time in your sole discretion. Additional Representations and Warranties
You represent and warrant that you have the right and authority to grant all rights granted and to assume all obligations undertaken by it under this Agreement, free and clear of any conflicting claims, rights or obligations.
You agree to indemnify us and hold us harmless from any claim that may arise from your use of the Community Web Page, or arising out of any breach of the above representations and warranties, or the content that you post using the Community Web Page.
Exclusion of Certain Warranties and Liabilities
The Community Web Page are provided to you "as-is", "with all faults" and "as available". The Johnstown Breeze, and their affiliates, agents and licensors cannot and do not warrant the accuracy, completeness, currentness, noninfringement, merchantability or fitness for a particular purpose of the information available through the Community Web Page. Nor do they guarantee that the Service will be error-free, or continuously available, or that the Service will be free of viruses or other harmful components. UNDER NO CIRCUMSTANCES SHALL The Johnstown Breeze, OR THEIR AFFILIATES, AGENTS OR LICENSORS BE LIABLE TO YOU OR ANYONE ELSE FOR ANY DAMAGES ARISING OUT OF USE OF THE Community Web Page OR The Johnstown Breeze, INCLUDING, WITHOUT LIMITATION, ANY DAMAGES RESULTING FROM THE LOSS OF OR DAMAGE TO ANY DATA OR CONTENT OR ANY DIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR SIMILAR DAMAGES, EVEN IF WE ARE ADVISED BEFOREHAND OF THE POSSIBILITY OF SUCH DAMAGES. (BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OF LIMITATION OF CERTAIN CATEGORIES OF DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IN SUCH STATES, THE LIABILITY OF The Johnstown Breeze, AND THEIR AFFILIATES, AGENTS AND LICENSORS, IS LIMITED TO THE FULLEST EXTENT PERMITTED BY SUCH STATE LAW). IF YOU ARE DISSATISFIED WITH THE COMMUNITY WEB PAGE, OR ANY MATERIAL, OR PRODUCTS FOUND ON OUR SITES, OR WITH ANY OF THE TERMS AND CONDITIONS OF THIS MEMBER AGREEMENT, OR OUR VISITOR AGREEMENT, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING OUR SITES AND THE Community Web Page.
Relationship of Parties
Neither this Agreement nor the cooperation of the parties contemplated under this Agreement shall be deemed or construed to create any partnership, joint venture or agency relationship between us and you or your Group. Neither party is, nor shall either party hold itself out to be, vested with any power or right to bind the other party contractually or to act on behalf of the other party as a broker, agent or otherwise.
This Agreement shall be governed in accordance with the laws of the State of Colorado, without regard to its conflict of law rules.
This Agreement contains the entire agreement and understanding between the parties with regard to the subject matter hereof, and supersedes all prior and contemporaneous oral or written agreements and representations. Our acknowledgement of an email or other communication from you that is in any way inconsistent with, or adds to, the provisions of this Member Agreement is null and void.
You acknowledge that we may change the terms of this Agreement from time to time. By continuing to use the Community Web Page after we post any such changes to the Agreement, you accept this Agreement, as modified.
Johnstownbreeze.com is provided to you by its publisher and its subsidiaries ("we" or "us"). This visitor agreement ("Visitor Agreement") is a binding legal contract between you and us. Please read this visitor agreement; by using this service, you accept its terms. The Internet is an evolving medium; we may change the terms of this agreement from time to time. By continuing to use the service after we post any such changes, you accept this agreement, as modified.

No Framing. Without the prior written permission of Johnstown Breeze, you may not frame any of the content of our sites, or incorporate into another Web site or other service any of our intellectual property. Trademarks. We don't want anyone to be confused as to which materials and Community Web Page are provided by us and which aren't. We provide a variety of Community Web Pages through our sites through which you can directly interact with others, such as email Community Web Page, communications tools, message boards, classifieds, jobs and other public posting areas ("Communications Community Web Page"). We want to encourage an open exchange of information and ideas, but at the same time we want everyone to be able to enjoy these Communications Community Web Page.
We reserve the right to deny access to any Communications Service to anyone who violates this visitor agreement or who, in our judgment, interferes with the ability of others to enjoy our sites or infringes the rights of others. We also reserve the right (but assume no obligation) to delete, move, block access to, or edit any postings that come to our attention that we consider unacceptable or inappropriate, whether for legal or other reasons. We will not, in the ordinary course of business, review private electronic messages that are not addressed to us. However, we maintain the right to do so or to use any other forms of information available to Community Web Page by virtue of your use of our sites (including, for example, reverse IP address inquiry), in order to comply with the law, to enforce our Visitor Agreement, or to protect the rights, property or safety of visitors to our sites, the public, or Johnstown Breeze and its employees, agents, partners and affiliates.
Specific Prohibited Uses.
Without limiting the foregoing, we may immediately terminate your use of any Communications Service if you engage in any of the following prohibited activities:
- Uploading, posting, emailing, transmitting or otherwise making available any content that in our discretion might be unlawful, harmful, threatening, abusive, libelous, or obscene;
- Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity;
- Forging headers or otherwise manipulating identifiers in a manner that disguises the origin of any content you transmit through any Communications Service;
- Uploading, posting, emailing, transmitting or otherwise making available any content or material that you do not have a right to make available under any law or under any contractual or fiduciary relationship (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
- Uploading, posting, emailing, transmitting or otherwise making available any content or material that infringes any patent, trademark, trade secret, copyright or other proprietary right of any party;
- Uploading, posting, emailing, transmitting or otherwise making available any unsolicited or unauthorized advertising, promotional materials, any illegal pyramid or "Ponzi" type schemes, or any other form of solicitation, without our express written approval;
- Gathering for the purpose of "spamming" any email addresses that visitors post in our chat rooms, message boards and other public posting areas;
- Uploading, posting, emailing, transmitting or otherwise making available any content or material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
- Uploading or posting any off-topic or irrelevant material to any chat room or message board or forum or voter poll;
- Interfering with or disrupting any servers or networks used to provide the Communications Community Web Page, or disobeying any requirements, procedures, policies or regulations of the networks we use to provide the Communications Community Web Page;
- Violating any applicable local, state, national or international law, including, but not limited to (i) all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside, (ii) regulations promulgated by the U.S. Securities and Exchange Commission, and (iii) any rules of any national or other securities exchange, including, without limitation, the New York Stock Exchange, the American Stock Exchange or the NASDAQ;
- "Stalking" or otherwise harassing another;
- Instigating or encouraging others to commit illegal activities or cause injury or property damage to any person;
- Collecting or storing personal data about other users;
- Gaining unauthorized access to any of our sites, or any account, computer system, or network connected to any of our sites, by means such as hacking, password mining or other illicit means; or
- Obtaining or attempting to obtain any materials or information through any means not intentionally made available through any of our sites.
Indemnity. You agree to indemnify and hold us harmless from any claim that may arise from your use of any Communications Service available through our sites.
Spam. We will immediately terminate any account which we believe is transmitting or is otherwise connected with any spam or other unsolicited bulk email. In addition, because damages are often difficult to quantify, if actual damages cannot be reasonably calculated then you agree to pay to Johnstown Breeze liquidated damages of $2 for each item of spam or unsolicited bulk email transmitted from or otherwise connected with your account, otherwise you agree to pay our actual damages, to the extent such actual damages can be reasonably calculated.
We work hard to make our site an interesting and enjoyable place. We cannot guarantee, however, that our users will always find everything to their liking; nor could we provide a free service if we were exposed to substantial liability. Jurisdiction. This visitor agreement has been made in and shall be construed in accordance with the laws of the State of Colorado. By using this service, you consent to the exclusive jurisdiction of the state and federal courts in Weld County, Colorado, in all disputes arising out of or relating to this agreement or this Web site.

Children should always get permission from their parents before sending any information about themselves (such as their names, email addresses, and phone numbers) over the Internet, to us or to anyone else. We generally direct our Community Web Page to individuals that are over 18. In any case, we won't knowingly allow anyone under 13 to register with any of our sites or to provide any other personally identifying information.
TYPES OF INFORMATION WE COLLECT
The information we gather falls into two categories: (1) information voluntarily supplied by visitors to our websites when they register or initiate transactions, and (2) information gathered on usage patterns and preferences as visitors navigate through our sites, read our email newsletters, or use our Community Web Page, such as free email. In some cases, it is an agent or affiliate of ours that collects the information on our behalf. Third party providers featured on or linked to by our websites, such as vendors of products and Community Web Page offered through our sites, may be gathering the same kinds of information.
Why Register? To make use of certain features on our websites (such as personal messages, classifieds, personal web pages, chatrooms, forums and other interactive message boards) visitors need to register and to provide certain information as part of the registration process. Contests and Other Promotions. From time to time, we may offer contests, sweepstakes or other promotions on our sites. If you enter one of these promotions, you'll have to provide information about yourself (such as your name, address, telephone number and email address) so that we can contact you if you win. We may share this information with any co-sponsor of the promotion, which we will identify in the official rules. If you don't want us to collect the information requested in the registration form or to provide it to contest co-sponsors, please do not enter the contest or sweepstakes.
Email Newsletters. We may also offer you the opportunity to subscribe to email newsletters on topics that we believe are of interest to our visitors. If you have opted to receive a particular newsletter, you may always unsubscribe later if you decide not to receive further mailings of the newsletter from us. See "Opting Out" below.
Other Methods of Collecting Information. Our web pages may contain HTML code that allow us and our vendors to count users who have visited particular pages or to access certain cookies. We may use these tools and other technologies to recognize which pages users visit, and which links they click on. These features are also included in our email newsletters so that we can learn which messages have been opened and acted upon. We may also be able to verify your online purchases from us or from third party sites that have agreed to share such information with us.
IP Addresses. Our web servers automatically collect limited information about your computer's connection to the Internet, including your IP address, when you visit our sites. (Your IP address is a number that lets computers attached to the Internet know where to send you data -- such as the web pages you view). We use this information to deliver our web pages to you upon request, to tailor our sites to the interests of our visitors, and to measure traffic within our sites. For example, if you are shopping on our site, we may use your IP address to help identify you and your shopping cart. Your IP address does not identify you personally to us. But we maintain the right to use reverse IP address inquiry and to release information about our visitors as described in "Other Disclosures" below.

All information gathered on any of our websites is stored within a secure database operated by us or by a contractor on our behalf.
